SSM Health a nationally recognized Catholic, not-for-profit integrated health system serving Illinois, Missouri, Oklahoma, and Wisconsin is seeking a Senior Legal Counsel Corporate Governance and Finance to join its office in St. Louis.

This role is expected to work on site in St. Louis, MO full time.

The Senior Legal Counsel will assist within the financial transactions and corporate governance areas. This Senior Legal Counsel will provide legal advice, appropriate resolutions, bond disclosures, and more. This role will work with mergers and acquisitions, joint ventures, and review and revise operating agreements.

Successful candidates will have a background working with transactions, corporate governance (not for profit preferred), and finance related transactions (not for profit space preferred). All candidates must have 5+ years legal experience and a JD.

Works at the direction of the supervisor to oversee and manage legal affairs for SSM Health and its operating entities, including advising and educating management on legal matters; providing legal advice on regulatory, compliance, and other legal matters.
PRIMARY RESPONSIBILITIES

+ Imparts the mission, values, and vision of SSM Health, and facilitates the integration of values in Continuous Improvement (CI) activities.

+ Works collaboratively with members of the legal Affairs staff to ensure SSM Healths ministries and operations comply with relevant law, ethical business practices and the systems mission and values.

+ Understands legal operating and finance structures of SSM Health; as well as, analyzes current or planned activities within those structures and can identify and directly oversee legal work affecting operating entities.

+ Maintains a working knowledge of applicable Federal, State and local laws and regulations, SSMHCs Corporate Responsibility Program, SSMHCs Code of Ethics and relevant Policies and Procedures to ensure actions are consistent with SSMHCs mission and values; as well as, organizational and professional ethical requirements.

+ Possesses excellent legal research and communication skills, including legal writing and speaking

+ Demonstrates strong interpersonal and analytical skills

+ Works with a high level of independence and exhibits good judgement

+ Performs other duties and tasks as assigned.

EDUCATION

+ Juris Doctor (JD) degree from a law school accredited by the American Bar Association (ABA)

EXPERIENCE

+ Five years' legal experience

PHYSICAL REQUIREMENTS

+ Frequent lifting/carrying and pushing/pulling objects weighing 0-25 lbs.

+ Frequent sitting, standing, walking, reaching and repetitive foot/leg and hand/arm movements.

+ Frequent use of vision and depth perception for distances near (20 inches or less) and far (20 feet or more) and to identify and distinguish colors.

+ Frequent use of hearing and speech to share information through oral communication. Ability to hear alarms, malfunctioning machinery, etc.

+ Frequent keyboard use/data entry.

+ Occasional bending, stooping, kneeling, squatting, twisting and gripping.

+ Occasional lifting/carrying and pushing/pulling objects weighing 25-50 lbs.

+ Rare climbing
