The Role:

We are searching for someone to be part of a larger corporate team, including Indirect Procurement, IT, Finance, Marketing, Benefits/HR, Accounting, and other groups, to support transactions. You will also be encouraged to (i) work closely with AMDs other lawyers and paralegals and (ii) collaborate with and handle outside counsel and resources optimally for specific engagements in accordance with the budget. The Person:

The Corporate Counsel must be detail orientated, a good communicator, and have excellent judgment with the ability to establish positive working relationships with individuals at all levels and have the shown ability to work in a sophisticated, fast-paced environment. Key Responsibilities:

  • Have several years of in-house and/or private practice experience: (i) providing legal counsel to clients on purchasing, services, software licensing, and related business issues, (ii) drafting and negotiating major business, marketing, intellectual property, purchasing, services and technology agreements, and (iii) partnering with clients to develop internal processes to help handle legal risk. Experience with compliance, benefits/HR agreements, and data security and privacy (including GDPR and CCPA) is an advantage;
  • Be a member in good standing of a provincial or state bar;
  • Be flexible and willing to assume new or different responsibilities as the needs of the client evolve and educate internal and external clients on areas of expertise.; and
  • Be comfortable working remotely with clients, colleagues, and business partners in the US, Europe, and Asia, recognizing that this may result in occasional meetings in the late evening or early morning.

You will have responsibility for handling a variety of commercial matters and must possess strong commercial contract negotiation and drafting skills related to the following types of agreements:

  • General Services
  • Enterprise Licensing
  • Software Licensing and related Maintenance and Service Level agreements
  • Software as a Service
  • Infrastructure as a Service,
  • Professional Services
  • Data Security
  • Data Privacy
  • Marketing and Sponsorship
  • HR, Benefits
  • Logistic

Academic Credentials:

Have a J.D. or LL.B. from an accredited law school in Canada or the United States;
