Under general supervision, responsible for handling a variety of assigned legal projects including enterprise risk management, securities law filings, corporate governance matters, issues related to 501(c)(3) organizations, FA questions and general corporate and partnership issues.
Will assist in review of and provide legal advice with respect to internal audit, SOX and SEC Rule 17a-5 programs, plans and presentations.
Works closely with other attorneys in the Legal Department.

The Associate General Counsel II - Corporate Risk Management should possess:
* Ability to develop and implement solutions to eliminate, manage and mitigate risk to the Firm.
* Legal expertise in connection with enterprise risk management, including development of frameworks, incident management reporting systems, risk assessments and privilege determinations
* Familiarity with partnership legal documents including partnership agreements, prospectus, loan documents, policies and procedures
* State and federal Securities law expertise including experience with filings such as S-8's, 10-Ks, 10-Qs, Form D, 13-H, 17-H, Form BD, Form 3
* Foundational knowledge with legal issues and advice regarding 501(c)(3)charitable organizations, foundations, grants, solicitations, CSR, ESG and employment practices and policies
* Strong knowledge of general corporate law, including governance matters, complex subsidiary structures, charters, amendments, resolutions and Audit Committee work
* Experience providing legal advice in connection with outside auditor engagement and representation letters
* Exceptional legal knowledge, judgment, work ethic and integrity, and a demonstrated ability to maintain confidentiality.
* Ability to analyze and resolve complex legal matters and recommend changes to organizational policies and procedures.
* Ability to successfully partner with associates across the Firm in a collaborative manner to deliver results and move important work through the organization.
* Ability to interact with sophisticated outside counsel to identify, evaluate and resolve complex legal questions and issues.
* Ability to independently manage a large, complex and diverse workload often in short timeframes

Requires J.D. and license to practice in state of Missouri or an equivalent state
Series 7 is required to be obtained in the first year of employment
Requires a minimum of 5 years of experience as an attorney in corporate setting
Experience in Corporate and Enterprise Risk Management is strongly preferred
Must have sound judgment, decision making, and conflict resolution skills
Commitment to a high level of ethics, professionalism, and confidentiality
Excellent communication (oral and written), presentation and interpersonal skills with demonstrated ability to convey complex issues to legal and non-legal professionals at all levels, including senior leaders.
